TERMS OF USE FOR ViVian AI AGENT

These Terms of Use ("Terms") govern your access to and use of ViVian, the AI Agent developed by Freshdi ("Freshdi," "we," "us," or "our"). By accessing or using ViVian, you acknowledge and agree to these Terms. If you do not agree to these Terms, you must not use ViVian.

1. Definitions

• "ViVian" refers to the AI Agent developed by Freshdi.
• "User" refers to any individual or entity accessing or using ViVian.
• "Services" refer to the functionalities, recommendations, and responses provided by ViVian.
• "Freshdi" refers to Freshdi.com and its parent, affiliates, and subsidiaries.

2. Use of ViVian

• ViVian is an AI-powered tool designed to connect global buyers and suppliers by Empowering AI to facilitate seamless B2B interactions and optimize business opportunities.
• Users must provide accurate and complete information when interacting with ViVian.
• Users are solely responsible for verifying the accuracy and suitability of any information or recommendations provided by ViVian before acting upon them.

3. User Consent and Authorization

• By using ViVian, Users expressly grant Freshdi and ViVian the authority to perform automated actions on their behalf, including but not limited to:

• Identifying and recommending potential buyers.
• Sending quotations, offers, and relevant communications to suitable buyers based on user-provided criteria.
• Assisting in negotiations, follow-ups, and business interactions with prospective buyers.
• Analyzing market trends, user interactions, and other data to optimize business opportunities.

• Users acknowledge and agree that ViVian operates based on AI algorithms, available data, and predefined logic. While ViVian is designed to enhance efficiency, Freshdi does not guarantee the success or outcome of any automated action taken by ViVian on behalf of the User.
• Users remain fully responsible for all transactions, communications, and commitments initiated by ViVian. Freshdi is not liable for any losses, miscommunications, or disputes arising from ViVian’s automated actions.
• Users have the option to modify, restrict, or revoke ViVian’s ability to perform certain tasks via their account settings or by submitting a formal request to Freshdi support. However, Users acknowledge that restricting ViVian’s functionalities may limit service effectiveness.
• By continuing to use ViVian, Users reaffirm their consent to grant ViVian the authority to execute tasks on their behalf as outlined in this section.

4. No Guarantee of Accuracy

• ViVian generates responses based on available data and AI algorithms. Freshdi does not guarantee the accuracy, completeness, or reliability of any information provided by ViVian.
• Users acknowledge that AI-generated recommendations may be subject to errors, outdated data, or incomplete insights.

5. Transactions and Business Interactions

• ViVian may provide supplier recommendations, product details, or market insights. However, Freshdi does not endorse or guarantee any third-party suppliers, transactions, or agreements.
• Users must conduct their own due diligence before engaging in business transactions.
• Freshdi is not responsible for any losses, disputes, or liabilities arising from business engagements based on ViVian’s recommendations.

6. Intellectual Property Rights

• All content, AI-generated responses, and materials provided by ViVian remain the intellectual property of Freshdi or its licensors.
• Users may not reproduce, modify, or distribute any part of ViVian’s content without prior written consent from Freshdi.

7. User Conduct

• Users may not misuse ViVian for unlawful, fraudulent, or abusive activities.
• Users must not attempt to manipulate or exploit ViVian in ways that violate Freshdi’s policies.
• Freshdi reserves the right to suspend or terminate access to ViVian for violations of these Terms.

8. Privacy and Data Usage

• Freshdi collects and processes data in accordance with its Privacy Policy.
• ViVian may store and analyze user interactions to improve its functionality and user experience.
• Users acknowledge that AI-generated interactions may be stored and reviewed for service enhancements and compliance purposes.

9. Limitation of Liability

• Freshdi provides ViVian on an "as-is" and "as-available" basis, without warranties of any kind.
• Freshdi is not liable for any direct, indirect, incidental, or consequential damages resulting from the use of ViVian.
• Users assume all risks associated with relying on AI-generated recommendations.

10. Modifications to Terms

• Freshdi reserves the right to modify or update these Terms at any time.
• Continued use of ViVian after any updates constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the Socialist Republic of Vietnam.
• Any disputes arising from these Terms shall be resolved through arbitration or legal proceedings in the appropriate jurisdiction.
